1. Acceptance of Terms

By accessing the public website, creating an account, or using the HMS, you agree to these Terms to the extent permitted by applicable law. If you use the service for a hospital or other organization, you confirm that you are authorized to accept these Terms on its behalf. If you do not agree, do not access or use the service.

A signed order form, subscription agreement, data-processing agreement, or other written agreement may supplement or prevail over these Terms where it expressly says so.

2. Definitions

  • Provider means JustOne Health Care Solution.
  • Platform or Service means the HMS website and software features made available by the Provider, including the authenticated hospital workspace.
  • Hospital means a hospital, clinic, or other healthcare organization that establishes or operates an account.
  • Account Holder means the person authorized to administer the Hospital account and accept service arrangements for it.
  • Authorized User means a staff member or other individual whom the Hospital permits to access the Service.
  • Customer Data means information submitted to or generated in the Service by or for the Hospital, including patient and staff information.

3. Description of Services

The platform includes hospital account and staff administration, role-based access, patient registration and records, appointments, visits, admissions, ward and bed workflows, prescriptions, reports, support requests, and related operational features. Features available to a particular Hospital depend on the account configuration and product version.

The platform also provides account verification and communications by email and, when configured, SMS. Product descriptions on the marketing site may describe planned, optional, or configurable capabilities; only features expressly made available to the Hospital are included in its Service.

4. Eligibility and Account Registration

The Service is intended for healthcare organizations and their authorized users. The Account Holder must provide accurate registration and organization information, keep it current, and use the existing registration and verification flow. The Provider may reject or request verification of incomplete or inconsistent registration information.

The person accepting these Terms must have legal capacity and authority to do so. Individual users may use the platform only with the Hospital's authorization.

5. Hospital Accounts, Staff Accounts, and Access Control

Each Hospital is responsible for administering its account, adding and removing Authorized Users, assigning appropriate roles, and reviewing access regularly. Users must use their own accounts and may not share credentials. Access controls and available roles are those implemented in the current platform.

An Account Holder should promptly revoke access for users who change roles or leave the organization and notify the Provider of suspected unauthorized access.

6. Account Security and User Responsibilities

  • protect passwords, verification codes, devices, and recovery channels;
  • use the Service only through authorized accounts and comply with applicable law and Hospital policies;
  • provide accurate information and promptly report suspected compromise, vulnerabilities, or unauthorized disclosure;
  • ensure submitted information is accurate to the extent appropriate for the workflow and maintain independent records or backups where required by the Hospital's policies;
  • not circumvent access controls or use another user's credentials.

7. Subscription Plans, Fees, Billing, and Taxes

The application records subscription status and dates and may provide a trial period as shown in the account. The price, billing frequency, included modules, renewal, cancellation, refund, and payment method for a paid plan must be stated in the applicable written quotation, order form, or subscription agreement.

No online payment gateway was identified in the current application. Do not enter card or bank details into the platform. Before offering paid subscriptions, the Provider must confirm the commercial terms, tax treatment, invoicing process, renewal rules, and any payment collection arrangements in writing. Fees and taxes are [To be confirmed in the applicable order form and by legal/accounting review].

8. Acceptable Use

You must not use the Service to violate law or another person's rights, submit information without authority, or interfere with healthcare operations. You must not:

  • access or attempt to access another Hospital's account or data without authorization;
  • probe, scan, disrupt, overload, reverse engineer, or attempt to compromise the platform or its security controls, except where expressly authorized in writing;
  • introduce malware, misuse communication features, or use the Service to send unlawful or deceptive material;
  • use the Service as a substitute for required clinical judgment, emergency response, or professional duties.

9. Patient Data, Medical Records, and Privacy

The Hospital is responsible for Customer Data it submits, including patient data, and must have the authority and legal basis required to collect, use, and disclose it through the Service. The Hospital must provide required privacy notices, manage user access, and respond to data-subject requests as required by law.

The Provider will handle Customer Data as described in the Privacy Policy and any applicable written service or data-processing agreement. The Privacy Policy forms part of these Terms for information practices. Do not submit information that the Hospital is not authorized to process.

10. Healthcare Professional Responsibilities

The HMS is an administrative, operational, and record-management tool. It does not independently diagnose, prescribe, or treat patients. Any summaries or general informational responses are not a substitute for professional medical judgment.

Clinical decisions, diagnosis, treatment, prescriptions, record review, and patient care remain the responsibility of appropriately qualified healthcare professionals. Hospitals and professionals must independently verify information and comply with applicable professional standards and healthcare laws.

11. Service Availability and Maintenance

The Provider will use reasonable efforts to maintain the Service but does not promise uninterrupted or error-free availability. Access may be affected by maintenance, updates, security incidents, internet or telecommunications failures, infrastructure providers, or events beyond reasonable control. No uptime service-level agreement is offered unless expressly agreed in writing.

Where practicable, planned maintenance or material service interruptions will be communicated to account holders through an appropriate channel.

12. Third-Party Services and Integrations

The Service may rely on configured email delivery, optional Twilio SMS delivery, and browser-loaded Google Fonts and Lucide resources. Their availability and handling of information are subject to their providers' terms. Hosting, storage, backup, and any future integrations depend on the deployment and should be identified in the applicable service agreement.

The Hospital is responsible for evaluating third-party services it chooses to connect or use, where such configuration is available.

13. Intellectual Property

As between the parties, the Provider or its licensors retain rights in the Service, software, branding, and related materials. The Hospital retains its rights in Customer Data. The Provider grants the Hospital a limited, non-exclusive, non-transferable right to access and use the Service during the applicable service term, subject to these Terms and any written order.

No ownership of Customer Data is transferred to the Provider by these Terms. Feedback may be used to improve the Service, provided it does not disclose confidential or patient information.

14. Suspension and Termination

The Hospital may stop using the Service and request account closure through its Account Holder, subject to any applicable written subscription terms. The Provider may suspend access where reasonably necessary to address a security risk, unlawful use, material breach, or a past-due or expired subscription, subject to applicable law and any written agreement.

Where practicable, the Provider will give notice and an opportunity to address the issue before suspension, except where urgent action is reasonably needed to protect people, data, or the Service. The process and notice period for termination of a paid subscription must be confirmed in the applicable order form.

15. Data Export, Retention, and Deletion on Termination

Before an account closes, the Hospital should request and securely retain any records it is required to maintain. Available export formats, assistance, and any fees must be confirmed in the applicable service agreement; the current platform's support-admin export is not a guarantee that every Hospital record can be exported in every format.

After termination, Customer Data may be retained or deleted according to the Privacy Policy, applicable medical-record and other legal requirements, backup cycles, and the parties' written agreement. Hospitals remain responsible for legally required medical-record retention. Contact the Provider promptly to discuss an export or deletion request.

16. Disclaimers and Limitation of Liability

To the extent permitted by law, the Service is provided as made available, and the Provider does not warrant that it will be uninterrupted, error-free, or suitable for every Hospital's requirements. Nothing in these Terms excludes a warranty, right, or remedy that cannot lawfully be excluded.

To the extent permitted by applicable law, neither party will be liable for indirect or consequential loss arising from use of the Service. Any financial cap, exclusions, or allocation of responsibility must be expressly agreed in a written customer agreement after legal review. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or deliberate misconduct where such limitation is prohibited.

17. Indemnification

[For legal review: No indemnity obligation is established by this placeholder. Before adding one, confirm the parties, scope, procedures, exclusions, and relationship to applicable healthcare, privacy, and consumer-protection law in the signed customer agreement.]

18. Changes to the Service or Terms

The Provider may update or modify the Service. Material changes to these Terms will be posted on this page with an updated date and communicated to Account Holders where appropriate or required. Continued use after an updated effective date constitutes acceptance only to the extent permitted by law; if you do not agree, stop using the Service and contact the Provider to discuss account closure and data handling.

19. Governing Law and Dispute Resolution

[To be completed after legal review: governing law: [Insert jurisdiction]; courts or arbitration venue and rules: [Insert agreed forum and process]. No governing-law jurisdiction or dispute forum is selected by this placeholder. Mandatory consumer, healthcare, privacy, and other protections continue to apply where required by law.]
